THESE TERMS AND CONDITIONS (“TERMS”) GOVERN YOUR ACCESS TO AND USE OF THE WEBSITE LOCATED AT FLITINVEST.COM (“SITE”) AND/OR THE MOBILE APPLICATION (“APPLICATION”) AND/OR REGISTERING TO OUR SERVICES (“SERVICES’) MADE AVAILABLE BY FLIT INVEST LLC (“FLIT INVEST,” “FLIT,” “WE,” “US,” OR “OUR”).
IT IS IMPORTANT THAT YOU READ THESE TERMS CAREFULLY AND, SHOULD YOU NOT AGREE WITH THESE TERMS OR OUR PRIVACY POLICY, DO NOT ACCESS OR USE THE SERVICES. BY ACCESSING OR USING THE SERVICES YOU AGREE ON BEHALF OF YOURSELF AND ANY ORGANIZATION OR COMPANY THAT YOU REPRESENT (TOGETHER, “YOU”) THAT YOU HAVE READ, UNDERSTAND, AND ACCEPT THESE TERMS.
FLIT INVEST RESERVES THE RIGHT TO REVISE THESE TERMS AT ANY TIME. ALL CHANGES WILL BE EFFECTIVE IMMEDIATELY UPON POSTING TO THE SERVICES AND, BY ACCESSING OR USING THE SERVICES AFTER CHANGES ARE POSTED, YOU AGREE TO THOSE CHANGES. MATERIAL CHANGES WILL BE CONSPICUOUSLY POSTED ON THE SERVICES. THEREFORE, PLEASE CONTINUE TO FREQUENT THIS PAGE AS THESE TERMS CAN CHANGE AT ANY TIME.
Services
By using the Site and/or Application, you can access our investment advisory services (collectively, “Services”) through our interactive platform. Our Services allow you to open an account and receive automated investment advice based on the information you provide about your financial situation and risk preferences. We may update or modify the Site, the Application, or any of the Services at any time and are not required to provide notice or support for these changes. IF YOU OPEN AN ACCOUNT WITH US, YOU WILL NEED TO ENTER INTO A DISCRETIONARY PORTFOLIO MANAGEMENT AGREEMENT (“AGREEMENT”) WITH US. IN THE EVENT THAT THERE IS A CONFLICT BETWEEN THESE TERMS AND CONDITIONS AND THE AGREEMENT, THE AGREEMENT WILL TAKE PRECEDENCE.
Account creation
In order to use certain features or Services on this Site or Application, you may need to create an account and provide some personal information, like your name, social security number, address, email address, and financial information (collectively, your “Personal Details”). You are responsible for keeping your Personal Details accurate and up to date. If you provide false or incomplete information or if we have reason to believe that you have, we may cancel your account. We care about your privacy and have a policy in place to protect your Personal Details as you use this Site, Application, and our Services. You are also responsible for keeping your username and password confidential. If you think someone else has accessed your account without your permission, let us know right away. The Company will not be responsible for any losses arising out of the unauthorized use of your account and you agree to indemnify and hold harmless the Company and its managing members, officers, equity holders, employees, partners, parents, subsidiaries, agents, affiliates, and licensors (collectively, “Affiliates”), as applicable, for any improper, unauthorized or illegal uses of your account and as otherwise set forth in these Terms and Conditions.
Promotions and referrals
We may offer promotions to users of our Site, Application, and Services at our discretion, but these promotions will not change your relationship with us. We may also offer incentives for you to refer new users to our Site, Application, and Services. These incentives may be in the form of reward shares, and we reserve the right to change the incentives, terms, restrictions, and qualifications at any time. If we determine or suspect that you have received a reward or benefit through fraudulent or illegal means, we may withhold or deduct the reward shares or other benefits.
Alerts and notifications
As part of the Services we offer, or when applying for those Services, you may receive notifications, alerts, emails, or other messages. We may also send you promotional emails about our Services and Agreement. You can choose not to receive these promotional emails by following the opt-out instructions in the emails. If you access our Site, Application, or other features through a mobile network, your network or roaming provider may charge fees for messaging data and other services. You are responsible for paying these fees, and we and the carriers are not responsible for any delayed or undelivered messages.
Waitlist and referral program contest
Contest Rules
THE CONTEST IS PART OF A WAITLIST PROGRAM AND A PROMOTIONAL REFERRAL CAMPAIGN (THE “CONTEST”). YOUR PARTICIPATION IN THE WAITLIST PROGRAM DOES NOT MAKE YOU A CLIENT OF FLIT INVEST. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.
Eligibility
The Contest is open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. The Contest is subject to federal, state, and local laws and regulations.
Agreement to Official Rules
Participation in the Contest constitutes entrants’ full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.
Contest Period
The Contest begins on January 1, 2021 at 12:00 am EST and will end upon December 31, 2022 at 12:00 am EST (the Contest Period). Entries that are submitted before or after the Contest Period will be disqualified. Submissions will be accepted for the duration of the Contest.
How to Enter
Online: This method of entry will be available by visiting our website (https://flitinvest.com/) and following the directions provided to fill out the entry information, and submit.
Mobile application: This method of entry will be available by downloading our mobile application and following the directions provided to fill out the entry information, and submit.
Limit one (1) entry per person, per email address for the duration of the Contest Period, regardless of method of entry. Entries received from any person, e-mail address, or household in excess of the stated limitation will be void. All entries become the property of Sponsor and will not be acknowledged or returned.
Prize Drawing
On or about January 3, 2023, the Sponsor will select potential winners according to the rules and regulations of the contest. The odds of being selected depend on the number of points received. The Sponsor will attempt to notify the potential winner via email. If the potential winner cannot be contacted within five (5) days after the date of the first attempt to contact them, the Sponsor may select an alternate potential winner in their place at random from the remaining non-winning, eligible entries.
Winner Notification
The potential winners will be notified via email. Each potential winner of a cash prize will be required to sign up for an account with FLIT Invest upon launch in order to verify their information and to claim their prize. Each potential winner of a charitable donation will be required to make a selection of a qualifying charitable organization provisioned under Section 501(c)(3) of the US Internal Revenue Code (“Charity”). Top 10 entrants will be eligible to select a Charity of their choice. If a potential winner cannot be contacted, or fails to respond within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits prize. FLIT Invest reserves the right to select the Charity if the winner cannot be contacted. If the potential winner is at least 18 but still considered a minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian, who will be required to sign the Declaration of Compliance on the potential winners behalf and fulfill any other requirements imposed on winner set forth herein. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Contest.
Rewards
FLIT Invest will provide prizes to the top 10 users who earn the most amount of points during the competition. The top contestant with the highest points will be rewarded $1,000 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing. The #2 rank will be rewarded $500 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing. The #3 rank will be rewarded $250 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing. The #4 rank will be rewarded $100 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing. The #5 rank will be rewarded $50 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing. The #6-#10 ranks will be rewarded $25 to their FLIT Invest account matched by a donation from FLIT Invest to a Charity of their choosing.
General Conditions
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Campaign in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Campaign and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorneys fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
Release and Limitations of Liability
By participating in the Contest, entrants agree to release and hold harmless the Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the Released Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d)application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, the incorrect downloading of the application the processing of entries application downloads or in any Contest-related materials; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event shall the entrant be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
Disputes
Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Delaware. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Delaware, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Delaware.
Privacy
Prior to the launch of features of the Agreement, we may provide an opportunity for visitors to the Site to enter their email to join a waitlist of visitors who wish to receive further information as such feature gets under way (a “Waitlist”). If you join any Waitlist, you acknowledge and agree that joining such Waitlist does not and will not make you our client (or a customer of any of our affiliates), obligate us to provide you any Services, or create any other legal or regulatory duty on our part, other than the duty to exercise reasonable care to protect your email in accordance with our Privacy Policy.
